TERMS AND CONDITIONS ("TERMS")

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using and/or placing an order for the Product/s on the www.asiapac.com.sg/lenovo-tp website (the "Service") operated by NUS Multi-Purpose Co-operative Society Limited (“NUS”, "us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. ACCESSING AND USING THE SITE

As a condition of your access to and/or use of the Site, you warrant that:
1.1 All information supplied by you on the Site is accurate, current and complete;
1.2 You are 18 years of age or older in order to access and/or use the Site; and
1.3 You will not copy or distribute any part of the Site in any medium without NUS Multi-Purpose Co-operative Society Limited prior written authorization.
You shall be solely responsible for your access to and/or use of the Site and its materials herein. NUS reserves the right to change these Terms and Conditions without prior notice at any time, at our’s sole discretion.

2. PURCHASE AGREEMENT

A purchase agreement will be made between NUS Multi-Purpose Co-operative Society Limited (“NUS”) and the Customer for the purchase of the Product/s as specified in the Order if and when NUS issues an Order Confirmation to the Customer in respect of that Order. For the avoidance of doubt, NUS shall not be under any obligation to accept any Order; a binding contract results only after a full payment has been made and an Order Confirmation is issued by NUS to the Customer via email at the email address provided by the Customer in the Order. More information on orders and payments stated in Clause 4.

3. LINKS TO THIRD PARTY SITES

The Site may contain links to third party websites that are not affiliated with or owned, operated, or controlled by NUS Multi-Purpose Co-operative Society Limited, including third party payment system providers. You acknowledge and agree that NUS is not responsible for the content, privacy policies, or practices of such third party websites or the companies that own them. By using the Site, you expressly relieve NUS from any and all liability arising from your access and use of any third party website.
We encourage you to review the terms and conditions and privacy policies of any third party websites before using them and disclosing your personal data to them.

4. ORDERS & PAYMENTS

4.1 You may place an order with us by completing and submitting the order form on the Site. You shall be responsible for ensuring the accuracy of all orders. All orders will be deemed to be irrevocable and unconditional upon transmission through the Site, and we shall be entitled, but not obliged, to process such order(s) without your further consent and any further reference or notice to you.
4.2 We reserve the right to accept or decline any and all orders received from or through the Site in our sole and absolute discretion. Prior to delivery of the Product/s, our acceptance of your order will take place when a confirmation email is sent to your specified email address provided to us. Each fully-paid order accepted by us shall constitute a separate and individual contract governed by these T&Cs (an "Order"). We will assign an order number to your Order when we accept your Order. Please tell us the order number whenever you contact us about your Order.
4.3 If we are unable to process your order, we will inform you of this. This might be because the Product/s is out of stock, because of unexpected limits on our resources for which we could not reasonably plan, because a credit reference we have obtained for you does not meet our minimum requirements, because we have identified an error in the price or description of the product, or because we are unable to meet a delivery deadline you have specified.
4.4 In the event that there are overwhelming responses for the Order, we will place a Pre-Order for the Product/s stated on the Site. Pre-Orders will take at least 4-5 weeks to process and deliver, as the origin of the shipment is not located locally. Customers will be required to read and accept these Terms before committing to the purchase. We will only process/reject/refund the order case by case basis if, under circumstances:
a. The waiting time for the order is longer than the timeline stated for the Product/s on the Site and only when customer chooses to make a cancellation.
4.5 The price payable by you for the Product/s shall be the price of the Product/s listed for sale as stated on the Site at the time your order is transmitted to us through the Site, and any applicable taxes. All prices are inclusive of 9% goods and services tax (GST), unless otherwise stated. We reserve the right to amend the price of any Product/s at any time without giving any reason or prior notice. Full payment must be made from the time your order was placed. Any incomplete payments will result in failed or rejected orders. In the event that any Product/s has been mispriced on the Site, we reserve the right to terminate the Order and notify you of such termination, regardless of whether or not the Product/s have been dispatched or are in transit and whether payment has been charged to you.
4.6 Payment for the Product/s may be made by major credits cards (e.g. Visa / MasterCard) or such other modes made available by NUS Multi-Purpose Co-operative Society Limited. All deliveries are subjected to prior payment of the Price.

5. DELIVERY

5.1 NUS will deliver the Product/s to the Customer’s address specified in the Order, which later agree on between the Customer and NUS on the specified delivery date and time, after an Order Confirmation has been made. For the avoidance of doubt, deliveries shall only be made to addresses within Singapore. Customers are to provide a secondary contact (name and phone number) in the event that the Customer is not present to accept delivery of the Product/s at the delivery time on the delivery date.
5.2 NUS will use reasonable commercial endeavours to deliver the Product/s on the delivery date in accordance with clause 5.1 but time of delivery is not of the essence to the Agreement. If NUS is unable to deliver the Product/s for any reason including inventory shortage, transportation difficulties or otherwise, it will inform the Customer as soon as practicable either by telephone or through the email address provided by the Customer and use reasonable commercial endeavours to deliver the Product/s within a reasonable period after the delivery date. The Customer agrees that NUS shall not be liable for any cost/expenses/damages for delays in delivery.

6. PRODUCT DESCRIPTIONS AND DEFECTS

We try to be accurate as reasonably possible in our descriptions of products available for purchase through the Site. However, our products may vary slightly from their pictures. The images of the products on our Site are for illustrative purposes only. Colours may appear slightly different in reality due to studio lighting conditions, or variances in computer screen calibration. We do however strive to ensure that screen colours are true to life, as much as possible. We do not warrant that product descriptions or other content on the Site are accurate, complete, reliable, current, or error-free.

7. GENERAL WARRANTY PERIOD

7.1 NUS will provide a warranty to all notebooks and accessories purchased through the Site only and not via other third parties, in which we will repair/service free of charge on-site at the preferred Customer’s location. 7.2 NUS reserves the right to inspect and test the Product/s for the purpose of determining the extent of any defect and the validity of any claim made under this warranty.
7.3 Proof of Purchase: Before the free services pursuant to clause 7.1 can be provided, the Customer will be required to substantiate the date of purchase and/or the Delivery Date of the relevant Product (for example, by providing documentary evidence such as the relevant invoice or Order Number).

8. REFUND & CANCELLATION

Subject to clause 4.4, NUS may, in its discretion, accept a Customer’s written or oral request for an exchange of the Product/s or a return of the Product/s and a refund of the Price provided:
a. A brief written explanation is either sent by email to tp@nuscoop.com or by phone call to NUS Multi-Purpose Co-operative Society Limited.
b. The Product/s is in re-saleable condition (e.g. the Product/s is in its original packaging and has not been used)
c. NUS will only carry out the request based on case by case basis as stated in clause 4.4a.

9. PERSONAL DATA

We may collect, use and disclose personal data that you provide to us to supply the Product to you, process your payment for the Product, and other specified purposes. Please see our Privacy Policy https://www.asiapac.com.sg/lenovo-tp/privacypolicy.aspx for more information.

10. INTELLECTUAL PROPERTY

All copyright in the material contained on the Website and any trademarks and brands included in that material belong to NUS Multi-Purpose Co-operative Society Limited or its licensors. The Customer may download or copy the content and other downloadable items displayed on the Website solely for personal non-commercial use for the purpose of placing an order. Copying or storing the contents of the Website for any other purpose is expressly prohibited.

11. ILLEGALITY

The illegality, invalidity or unenforceability of any provision of this Agreement under the law of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction nor the legality, validity or enforceability of any other provision.

12. GOVERNING LAW

The Agreement shall be governed by and construed in all respects in accordance with the laws of the Republic of Singapore and all parties hereto agree to submit to the jurisdiction of the Singapore Courts.
